Effective date: [EFFECTIVE DATE]
These Terms of Use (“Terms”) govern access to and use of the CityPay website, applications, wallets, payment functionality, digital-asset services, customer-support channels, and associated products.
The services are provided by [LEGAL ENTITY NAME], registered at [REGISTERED ADDRESS] (“CityPay”, “we”, “us”, or “our”).
By creating an account, accessing CityPay, or using any service, you confirm that:
- You have read and understood these Terms;
- You agree to be legally bound by them;
- You have the legal capacity and authority to enter into this agreement;
- Information supplied by you is complete and accurate;
- Your use of CityPay is permitted in your jurisdiction.
If you act on behalf of an organization, you confirm that you are authorized to bind that organization.
Eligibility and Account Registration
To use restricted CityPay functionality, you may be required to create an account and complete identity or business verification.
You agree to:
- Provide accurate and current registration information;
- Update information when it changes;
- Protect passwords, devices, verification codes, and recovery credentials;
- Notify CityPay promptly of suspected unauthorized access;
- Accept responsibility for activity performed through your account unless prohibited by law.
CityPay may reject, restrict, or suspend registration where verification cannot be completed or use of the service would create an unacceptable legal, compliance, security, or operational risk.

Depending on availability and eligibility, CityPay may provide:

- Purchase or sale of supported digital assets;
- Conversion between supported assets and currencies;

You are responsible for verifying transaction details before confirming an instruction, including:
- Asset and network;
- Wallet address;
- Recipient;
- Amount;
- Fees;
- Exchange rate;
- Payment reference.
Digital-asset transactions may be irreversible after submission to the relevant network. CityPay may be unable to recover assets sent to an incorrect address, unsupported network, incompatible smart contract, or unintended recipient.
A transaction may be delayed, rejected, reversed, or cancelled where required for verification, security, technical, legal, or compliance reasons.
Fees and Exchange Rates
Applicable fees, commissions, network costs, and exchange rates will be displayed before confirmation where reasonably practicable.
You authorize CityPay to deduct applicable charges from your account or transaction amount. Third-party network or provider fees may change independently of CityPay.
Displayed exchange rates may remain valid only for a limited time. If confirmation is not completed within that period, a new rate may apply.

- Distribute malware or interfere with CityPay systems;
- Submit false, misleading, or forged information;
- Operate prohibited gambling, investment, or commercial schemes;
- Infringe intellectual-property or privacy rights;
- Use automated tools in a manner that disrupts the service.
CityPay may investigate suspected violations and cooperate with competent authorities where required.

CityPay does not guarantee that any asset will retain value or remain available. Nothing on the platform constitutes personal investment, tax, or legal advice.
Availability and Maintenance
We aim to provide reliable services but do not guarantee uninterrupted or error-free availability. Functionality may be temporarily limited because of maintenance, security incidents, provider outages, network conditions, force majeure, or legal requirements.

You may request account closure, subject to settlement of outstanding obligations and applicable record-retention requirements.
Intellectual Property
CityPay software, branding, interfaces, text, graphics, logos, and related materials are owned by or licensed to CityPay. These Terms grant only a limited, revocable, non-exclusive right to use the services for their intended purpose.
Liability
To the maximum extent permitted by applicable law, CityPay is not responsible for indirect, incidental, special, or consequential loss resulting from market movements, third-party services, user error, unsupported transfers, force majeure, or unauthorized access caused by failure to protect account credentials.
Nothing in these Terms excludes liability that cannot legally be excluded.
